These Terms and Conditions ("Terms") govern your access to and use of the services provided by Veecle GmbH (or its affiliates) ("Veecle", "we", "us", or "our"), including the Veecle Studio platform, related software, APIs, and documentation (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.
Please read these Terms carefully. They contain important information about your rights and obligations, including limitations of liability and a disclaimer of warranties.
1. Welcome
Thank you for choosing Veecle Studio. We are building a platform that we believe will fundamentally improve how embedded software is developed, and we are glad to have you on this journey with us.
These Terms govern your use of the Service. We have tried to keep them clear and fair. If anything is unclear, please reach out — we are always happy to talk.
Early Access. The Service is currently in an early-access phase. During this phase, features, pricing, availability, and functionality may change without advance notice. We may introduce, modify, or remove features and usage limits at our discretion. Certain functionality may be experimental or incomplete.
By using the Service during the early-access phase, you acknowledge that the Service may contain bugs, errors, or interruptions that could result in downtime, loss of data, loss of work, or other disruptions. You are solely responsible for maintaining independent backups of any data or work product you store on or create through the Service. Veecle shall not be liable for any loss of data or work arising from the use of the Service during the early-access phase, except in cases of wilful misconduct or gross negligence.
This section applies until we publicly announce general availability of the Service.
2. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement in order to use the Service. If you are using the Service on behalf of a legal entity, you represent and warrant that you are authorised to accept these Terms on its behalf.
3. Account Registration
To access the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly at support@veecle.io if you become aware of any unauthorised use of your account.
We may suspend or terminate your account if we reasonably believe that your account information is inaccurate, that your account has been compromised, or that your use of the Service violates these Terms.
4. The Service
Veecle Studio is a cloud-based development environment platform that enables users to create, configure, and manage remote workspaces for software development. The Service includes browser-based access, integration with third-party development tools, team collaboration features, and related functionality as described in our documentation.
We may modify or update features of the Service from time to time. For changes that do not materially adversely affect your use of the Service, we will notify you within a reasonable timeframe. For changes that materially reduce the core functionality available under your plan, we will provide at least 30 days' prior written notice. If you do not agree with a material adverse change, you may terminate your subscription before the change takes effect, and we will provide a pro-rata refund of any prepaid fees for the unused portion of your subscription term. We will not discontinue the core functionality of the Service during your current subscription term without your consent, except where required by law or for security reasons.
5. Plans and Pricing
The Service is available under different plans, which may include a free tier with limited functionality and paid plans with additional features and resources. The features, limitations, and pricing applicable to each plan are described on our website and may be updated from time to time.
Paid plans are billed on a usage-based or subscription basis as specified at the time of purchase. All fees are stated in euros and are exclusive of applicable taxes unless otherwise indicated.
6. Payment Terms
If you subscribe to a paid plan, you agree to pay all applicable fees in accordance with the billing terms presented to you at the time of purchase. Payments are processed through our third-party payment provider, Stripe. You authorise us to charge your designated payment method for all fees due.
If a payment fails or is past due, we may suspend your access to paid features until the outstanding amount is settled. Any modification to pricing shall be subject to the notice and termination provisions set out in Section 5.
7. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any manner that violates applicable laws or regulations.
- Attempt to gain unauthorised access to the Service, other accounts, or any related systems or networks.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except to the extent permitted by applicable law.
- Use the Service to develop a product or service that competes with the Service.
- Sublicense, resell, or redistribute access to the Service without our prior written consent.
- Use the Service for cryptocurrency mining or similarly resource-intensive activities unrelated to software development.
- Upload or transmit any malicious code, viruses, or harmful data.
- Use the Service in a manner that infringes the intellectual property rights of any third party.
We may suspend or terminate your access to the Service if we reasonably determine that your use violates this section, with notice where practicable.
8. Intellectual Property
Our property. The Service, including all software, documentation, designs, trademarks, and other materials provided by Veecle (collectively, "Veecle Materials"), is and remains the exclusive property of Veecle or its licensors. These Terms do not grant you any right, title, or interest in the Veecle Materials except for the limited right to use the Service in accordance with these Terms.
Your property. You retain all right, title, and interest in and to any data, code, content, or other materials that you upload, create, or store through the Service ("Customer Data"). You grant Veecle a limited, non-exclusive, worldwide licence to use, process, and store your Customer Data solely for the purpose of providing and operating the Service on your behalf.
No training. We do not use Customer Data to train machine learning models or artificial intelligence systems, whether our own or those of any third party.
Feedback. If you provide us with suggestions, ideas, or other feedback regarding the Service, we may use such feedback without restriction or obligation to you.
9. Customer Data
You are solely responsible for the Customer Data you upload to or create through the Service, including ensuring that you have all necessary rights and permissions to do so. We do not claim ownership of your Customer Data and will not access its contents except as necessary to provide the Service, to comply with applicable law, or with your prior authorisation.

10. Availability and Support
We will use commercially reasonable efforts to maintain the availability of the Service. Notwithstanding the foregoing, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance (of which we will provide reasonable advance notice), updates, or circumstances beyond our reasonable control. Your statutory rights under § 536 BGB to reduce fees in proportion to any material impairment of the Service remain unaffected.
We may offer support through email or other channels as described on our website. The scope and availability of support may vary by plan.
11. Confidentiality
Each party agrees to keep confidential any non-public information received from the other party that is designated as confidential or that would reasonably be understood to be confidential ("Confidential Information"). Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party, or is independently developed without reference to the disclosing party's Confidential Information.
Each party may disclose Confidential Information to the extent required by applicable law, provided that the disclosing party is given reasonable advance notice where legally permitted.
12. Disclaimer of Warranties
The Service is currently in an early-access phase. As a consequence, the Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Veecle disclaims all warranties, whether express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Veecle does not warrant that the Service will meet your requirements, that its operation will be uninterrupted or error-free, or that defects will be corrected. You acknowledge that you use the Service at your own risk.
13. Limitation of Liability
The Service is currently in an early-access phase. As a consequence, to the maximum extent permitted by applicable law:
- Veecle shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with these Terms or your use of the Service.
- Veecle's total aggregate liability arising out of or in connection with these Terms or the Service shall not exceed the total fees paid by you to Veecle in the twelve (12) months immediately preceding the event giving rise to the claim.
- The limitations set out in this section shall not apply to liability arising from wilful misconduct or gross negligence, or to the extent that such limitation is prohibited by applicable mandatory law.
14. Term and Termination
These Terms are effective from the date you first access or use the Service and remain in effect until terminated.
Termination by you. You may terminate your account at any time through your account settings or by contacting us at support@veecle.io.
Termination by us. We may terminate or suspend your access to the Service if you materially breach these Terms and fail to cure such breach within fourteen (14) days of receiving written notice, or immediately if the breach is not capable of cure.
Effect of termination. Upon termination, your right to access and use the Service will cease. Following termination, we will make your Customer Data available for export for a period of at least thirty (30) days in a standard, machine-readable format (such as JSON or CSV). After the expiry of this export period, we will delete your Customer Data within ninety (90) days, unless retention is required by applicable law. Upon your request, we will provide written confirmation of deletion. Any fees owed prior to termination remain due and payable.
Survival. Sections relating to intellectual property, limitation of liability, confidentiality, disclaimer of warranties, and governing law shall survive termination of these Terms.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice within the Service at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the changes, you may terminate your account before the changes take effect.
16. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. The exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms shall be Berlin, Germany, to the extent permitted by applicable law.
17. General Provisions
Entire agreement. These Terms, together with the Privacy Policy and any order forms or supplementary terms, constitute the entire agreement between you and Veecle with respect to the Service and supersede all prior agreements and understandings.
Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver. The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, or sale of all or substantially all of our assets, provided that we notify you of any such assignment and, if the assignment materially affects the Service or your rights under these Terms, you may terminate your subscription within thirty (30) days of receiving such notice.
Force majeure. Neither party shall be liable for any delay or failure to perform its obligations under these Terms due to circumstances beyond its reasonable control that could not have been foreseen or avoided, including natural disasters, acts of war or terrorism, epidemics, or acts of government. For the avoidance of doubt, failures of a party's own subcontractors, hosting providers, or other service providers do not constitute force majeure.
Notices. Notices to Veecle must be sent to the address below. We may send notices to you at the email address associated with your account.
